Terms of Service
These terms govern Poker Clock Pro, a tournament timing and administration utility provided by Grayston Technologies (“Grayston,” “we,” or “us”). By downloading, purchasing, or using Clock, you agree to these terms and the applicable app-store terms.
Eligibility and authority
You must be at least 18 and legally able to enter this agreement. If you use Clock for a venue or other organization, you confirm that you are authorized to accept these terms for it. Clock accounts and purchases are not offered to children.
Tournament utility only
Clock provides timing, structure, player-management, payout-calculation, display, and related administrative tools. It does not facilitate wagering, deposits, cash movement, gambling accounts, or real-money poker gameplay. You are responsible for operating events lawfully.
Base license
Browser Base is available without charge after verified account entry. An active local clock remains available offline after its first successful load. A valid $4.99 native app purchase permits personal or business use of offline Base features on installations authorized by that app store. The license is limited, non-exclusive, and non-transferable. Apple and Google downloads are separate. You may not resell, sublicense, evade technical safeguards, reverse engineer, or redistribute the app except where law expressly permits.
Subscriptions
Pro and Venue are optional auto-renewing subscriptions. US web subscriptions are processed by Stripe; native subscriptions are processed by Apple or Google. Pro is $4.99/month or $39.99/year and Venue is $29/month or $290/year in US pricing. The purchase screen shows the price, interval, trial eligibility, renewal, and cancellation method before confirmation. Eligible trials require a payment method, last seven days, and convert to the selected paid term unless canceled before trial end. Web cancellation normally takes effect at period end; upgrades may take effect immediately with the displayed proration, while downgrades take effect at renewal. Deleting the app does not cancel a subscription. A live cloud tournament may receive its existing safe-finish window after entitlement or billing grace expires. Refunds follow our Refund Policy, the applicable store rules, and mandatory consumer law.
Accounts and security
You are responsible for your account, authorized workspace members, paired displays, and devices. Roles and grants should be revoked when no longer needed. Do not share one-time pairing codes publicly.
Workspaces and collaboration
Workspace owners control billing, ownership, team administration, and deletion. Directors, Members, and Viewers receive only the capabilities described in the product. Invitations reserve seats while unexpired and must be accepted by the verified invited email. Workspace ownership cannot be transferred while billing responsibility is unresolved.
Your content and acceptable use
You retain rights in tournament data, branding, audio, and other content you provide. You authorize us and our service providers to host, copy, transmit, and process that content only as needed to operate requested features, secure the service, and meet legal obligations. You must have the right to use uploaded content. Do not use Clock to break the law, infringe rights, distribute malware, probe or bypass security, interfere with other users, overload services, or facilitate wagering, deposits, or real-money gameplay.
Availability and data
Offline Base is designed to function without cloud services. Cloud features may be rate-limited or temporarily disabled for maintenance or incident response. Remote configuration will not disable the paid offline Base clock. Export important data and verify tournament settings before live use.
Suspension and termination
You may stop using cloud features and delete your account at any time. We may restrict or suspend cloud access when reasonably necessary to address security, abuse, legal demands, or a material breach, and will give notice when practical. The paid offline Base clock will not be remotely disabled. Data export and deletion are described in the Privacy Policy.
Disclaimers and liability
Timing, payout, ICM, and structure calculations should be reviewed by the tournament director. To the extent permitted by law, the service is provided without guarantees beyond applicable consumer protections, and indirect, incidental, special, or consequential damages are excluded. Nothing in these terms waives rights or remedies that cannot lawfully be waived in your country or region.
Changes
We may update the app and these terms to improve features, security, compliance, or service operation. We will update the effective date and provide additional notice when required. If you do not accept a material change, stop using cloud features and use the available export and deletion controls.
Support
Contact us through Clock Support. App-store refund and billing requests are handled under the applicable store’s policies.
Apple terms
Use of the iOS app is also subject to Apple’s Standard Licensed Application End User License Agreement. If those terms conflict for an Apple-distributed copy, the mandatory Apple terms apply to that copy.
